AnalyticsWP is a product by Solid Plugins, LLC. This Terms of Service and License Agreement (“Agreement”) is entered into by and between the user (“User” or “You”) and Solid Plugins, LLC (“Company”, “we”, “us”, or “our”). By downloading, installing, or using the AnalyticsWP plugin (“Plugin”), you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Plugin.

You may request a refund within 30 days of purchase for any reason. At the point at which you receive the refund, your rights under the Account Access, Support, and Updates sections of this agreement will be terminated. If you do not agree with any of the terms of this agreement, you agree that your sole and exclusive remedy is to request a refund. Only one refund is permitted per person, regardless of the number of purchases made, for example in the case of subscription renewals.

AnalyticsWP is offered “as is” and without warranty, even the implied warranty of merchantability or fitness for a particular purpose. We suggest you make regular backups of your site and throughly test the Plugin within your unique environment and for your unique needs.

Solid Plugins LLC and its associates, partners, employees, and shareholders shall not be held liable for ANY damages or loss of data resulting from the use of our products or the termination or revocation of your license.

You may install AnalyticsWP and any add-ons you have purchased and use your license key on any number of your own websites, and any of your clients’ websites. To be eligible to receive support, updates, and continued access to your account, you may not share or distribute our plugins, add-ons, or your license key, or your account credentials to 3rd parties who are not your clients.

What is a client?

A client is someone for whom you are:
Building a custom website
Doing custom work on an existing website
Hires you to manage actively manage their WordPress site for them
Hires you to install and run their analytics using AnalyticsWP

This is an exhaustive list.

A client is not someone who:
Has bought a theme or plugin that you sell
Has purchased a premade website from you

You may not bundle AnalyticsWP as part of another product, service, or include it as part of a hosted service.

You may not bundle AnalyticsWP as part of another product, service, or include it as part of a hosted service.

Your purchase entitles you to updates of AnalyticsWP while your license is valid and paid for.

Updates are accessible by logging in to your account, or automatically through the Plugins page of WordPress admin panel. You may not allow or cause anyone other than yourself or your current clients to access updates in any way.

We reserve the right to terminate this agreement at any time, for any reason, by notifying you via e-mail that your license to use the software has been revoked.

You cannot resell AnalyticsWP. If you are caught reselling it on a site like fiverr.com or babiato.co your license will be revoked immediately without refund, and we reserve the right to notify any of the people you sold our software to about you and your bad practices.

If we terminate the agreement because we have determined that you have violated the terms of the agreement you are not entitled to a refund. If we terminate the agreement for any reason other than a violation, you will receive a full refund, even if you are outside of the 30 day window.

You can also terminate the agreement for any reason. If you terminate the agreement within 30 days of purchase, you are entitled to a full refund.

You agree to use the Plugin in compliance with all applicable laws, including the General Data Protection Regulation (GDPR). You are solely responsible for ensuring that your use of the Plugin complies with GDPR and any other applicable data protection laws.

The Plugin is provided “as is” for data analytics purposes. You acknowledge that it is your responsibility to ensure that Your use of the Plugin complies with GDPR requirements. This includes, but is not limited to, the lawful collection, processing, and storage of personal data. You agree that the Plugin does not, in any way, make it impossible for You to comply with GDPR. You shall indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any claims, damages, costs, liabilities, and expenses (including attorneys’ fees) arising out of or related to your non-compliance with GDPR or any other data protection laws.

The Company does not collect, process, or store any personal data on behalf of the User through the Plugin. The User is the data controller and is solely responsible for any personal data that may be processed through the use of the Plugin.

In no event will the Company be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement or the use of the Plugin, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if the Company has been advised of the possibility of such damages.

If one of the provisions of this agreement is found to be invalid, all other provisions shall remain in effect and in full force.

We reserve the right to modify this agreement at any time. Your continued use of our support or receipt of updates after the date of change constitutes your acceptance of any and all changes to this agreement.

The Company reserves the right to modify or replace this Agreement at any time. You will be notified of any changes to this Agreement through the Plugin or via email. Your continued use of the Plugin after any changes to this Agreement constitutes your acceptance of the new terms.

This Agreement shall be governed by and construed in accordance with the laws of California, USA, without giving effect to any principles of conflicts of law.

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Plugin and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
